Wholesale Terms of Sale

1. Payment Terms: • All invoices are due on or before the 10th day of the month following the month of purchase (Net 10th Prox).
• A 2% monthly service charge will apply to past-due invoices.
• Accounts with invoices unpaid for more than 30 days past due may be subject to suspension or closure.
2. Returns Policy:
• A 20% restocking fee will apply for returns of material accepted without the original billing invoice.
• Returned products must be in their original condition, and prior approval is required.
3. Personal Guarantee:
• The undersigned principals of the business personally and unconditionally guarantee all payment obligations, both jointly and severally.
• In the event of non-payment and the involvement of legal action, the business agrees to pay all associated costs, including service charges, legal fees (calculated at one-third of the amount due), and any other expenses incurred in the collection process.
4. Credit Evaluation Authorization:
• By completing this application, the business authorizes the use of Consumer Credit Reports to evaluate creditworthiness.
5. Agreement to Terms:
• By submitting this form, the business acknowledges and agrees to all terms and conditions outlined above.
• The business also waives the right to notification of any amendments to the sales agreement. 6. Inducement to Business:
• These terms are established to facilitate a successful business relationship and ensure the efficient fulfillment of wholesale grocery orders.
